Indiana LLC Business Entity Report: $31, Every Two Years

Indiana's only recurring Secretary of State obligation is the Business Entity Report: every two years, in your anniversary month, $31 online. The state is generous with reminders and absolute about the endpoint: five months overdue means dissolution.

How the deadline actually works

Form an LLC in March 2026 and your first report is due in March 2028, then March 2030, and so on. The Secretary of State's office says it sends no fewer than four reminders before acting, which makes Indiana one of the more forgiving states, right up until it is not: a report five months overdue results in administrative dissolution of the LLC. A dissolved LLC loses its good standing and its name protection, and reinstatement is its own project.

Because the rhythm is biennial, the classic Indiana failure is a stale email address. The reminders go to the contact information on file, via your registered agent and the state. If you change email or agent, update the record, ideally while filing something else in INBiz so you see the current data on screen.
